Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Stoneclad Media ("Stoneclad Media," "ShowDrop," "we," "us," or "our"), the operator of the ShowDrop service available at showdrop.ai (the "Service"). By creating an account, uploading content, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

If you do not agree to these Terms, do not use the Service.

1. The Service

ShowDrop is an autonomous AI post-production service. You upload raw podcast or long-form video footage; the Service uses automated and AI-assisted processing to produce a finished episode (including an editorial cut, hook, motion graphics, captions, and mastered audio), thumbnails, titles, chapters, show notes, and vertical clips, and can publish finished content directly to your YouTube channel at your direction.

We may modify, improve, or discontinue features of the Service at any time. If we discontinue the Service entirely, we will provide reasonable advance notice and a reasonable opportunity to download your produced content.

2. Accounts and Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. You must provide accurate account information and keep your credentials secure. You are responsible for all activity under your account. Notify us promptly at michael@stonecladmedia.com if you suspect unauthorized use.

3. Plans, Tokens, and Billing

3.1 Subscription plans

The Service is offered on month-to-month subscription plans (currently Creator, Pro, and Studio) billed in advance through our payment processor, Stripe. Current pricing and monthly token grants are published at showdrop.ai and may change; price changes take effect at your next renewal after notice to you.

3.2 Tokens

Processing on ShowDrop consumes tokens, which are prepaid usage credits. The following rules apply:

  • Monthly grants. Each subscription plan includes a monthly grant of tokens that is deposited at the start of each billing cycle.
  • Rollover. Under our current policy, unused tokens remain available while your account is in good standing and do not expire at the end of a billing cycle. We may introduce token expiry windows prospectively with notice; any such change will not apply retroactively to tokens already granted.
  • Token packs. Additional tokens may be purchased as one-time packs. All tokens (grant and pack) are held as a single balance and consumed together, and remain available while your account is in good standing, subject to Section 3.4.
  • Not money. Tokens have no cash value, are not redeemable for cash, are non-transferable, and may only be used to pay for processing on the Service.
  • Consumption estimates. Published token costs per episode (for example, approximately 418 tokens for a 60-minute episode) are estimates; actual consumption depends on footage length and processing options and is displayed before you confirm a job where practicable.

3.3 Free first episode

New accounts receive a one-time free episode allowance (currently 650 tokens, no payment method required). One free allowance per person or entity; we may deny or revoke free allowances obtained through multiple accounts or other abuse.

3.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing cycle; you retain access, and any remaining tokens, until then. Under our current policy, unused tokens (including pack tokens) remain available on your account while it is in good standing even after a subscription ends, and you keep all content the Service has produced for you; produced content remains available for download for at least 30 days after cancellation.

3.5 Refunds

Refunds are governed by our Refund Policy, which is incorporated into these Terms. In short: the free first episode lets you evaluate the Service before paying; subscription fees are non-refundable once a billing cycle begins except for billing errors, legal requirements, or verified extended outages; and tokens consumed by Service-side processing failures are automatically re-credited.

4. Your Content

4.1 Ownership

You retain all right, title, and interest in and to the footage, audio, artwork, and other materials you upload ("Uploaded Content") and in the finished episodes, clips, thumbnails, text, and other outputs the Service produces from your Uploaded Content ("Produced Content"), to the maximum extent permitted by law. We claim no ownership of your Uploaded Content or Produced Content.

4.2 License to us

You grant Stoneclad Media a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, and process your Uploaded Content and Produced Content solely to operate, provide, secure, and improve the Service for you (including transmitting content to the subprocessors listed in our Privacy Policy) and to publish content to platforms you direct us to. This license ends when your content is deleted from the Service, except for backup copies deleted in the ordinary course.

4.3 No training on customer content

We do not use your Uploaded Content or Produced Content to train generalized AI or machine-learning models, and we contract with our AI subprocessors on terms under which they do not train their models on your content.

4.4 Your representations

You represent and warrant that you own or have all necessary rights, licenses, consents, and releases (including from any on-camera participants, guests, and music rights holders) to upload your content and have it processed and published as you direct, and that your content and your use of the Service do not infringe or violate any third party's rights or any law.

5. Acceptable Use

You may not use the Service to:

  • upload or process content you do not have the rights to use, including pirated media, third-party broadcasts, or unlicensed music;
  • upload or process content that is unlawful, defamatory, or that exploits or endangers minors;
  • upload or process content promoting hate speech, violence, or harassment;
  • misrepresent the origin of content, impersonate others, or engage in fraud;
  • probe, disrupt, reverse-engineer, or overload the Service, or resell the Service without our written agreement;
  • circumvent token accounting, free-tier limits, or content-safety systems.

Content-safety hold. The Service applies automated content-safety screening. Content flagged for hate speech or other serious policy violations is automatically placed on hold and will not be rendered or published pending review. Tokens consumed before a hold are handled as described in the Refund Policy, and you may appeal a hold as described in our Content & DMCA Policy. We may suspend or terminate accounts for material or repeated violations of this Section 5.

6. AI Processing Disclosure

The Service's editorial decisions — cut selection, hook selection, titles, chapters, show notes, thumbnails, captions, and clip selection — are made substantially by automated AI systems, including large language models and speech/audio models operated by third-party providers identified in our Privacy Policy. AI output can contain errors, including transcription mistakes, misattributed speakers, factual errors in generated text, or editorial choices you disagree with. You are responsible for reviewing Produced Content before publication (or before enabling auto-publish), and you are the publisher of record for anything published to your channels.

7. YouTube Publishing and Third-Party Platforms

Direct publishing to YouTube operates through an OAuth authorization you grant to ShowDrop for your own Google account. By connecting YouTube, you agree to the YouTube Terms of Service and acknowledge the Google Privacy Policy. We access your YouTube account only to perform the actions you direct (uploading videos, setting metadata, thumbnails, and scheduling) and as described in our Privacy Policy, including its Google Limited Use disclosure. You can revoke ShowDrop's access at any time in your account settings or at Google's security settings page (https://myaccount.google.com/permissions). You remain solely responsible for your channel's compliance with platform policies.

8. Intellectual Property of the Service

The Service, including its software, models, prompts, templates, motion-graphics systems, designs, and branding, is owned by Stoneclad Media and its licensors and is protected by intellectual-property laws. Except for the rights expressly granted in these Terms, no rights are granted to you. Feedback you provide may be used by us without obligation to you.

9. Copyright Complaints

We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act as described in our Content & DMCA Policy.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT PRODUCED CONTENT WILL MEET YOUR EXPECTATIONS OR ANY PLATFORM'S REQUIREMENTS. YOUR EXCLUSIVE REMEDIES FOR DISSATISFACTION WITH THE SERVICE ARE THE REMEDIES STATED IN THE REFUND POLICY AND CANCELLATION OF YOUR SUBSCRIPTION.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER STONECLAD MEDIA NOR ITS SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY; AND (b) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR US $100 IF YOU HAVE PAID NOTHING). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Indemnification

You will defend, indemnify, and hold harmless Stoneclad Media from claims, damages, and expenses (including reasonable attorneys' fees) arising from your Uploaded Content, your published content, your violation of these Terms, or your violation of any law or third-party right.

13. Termination

We may suspend or terminate your access for material breach of these Terms, non-payment, legal risk, or extended inactivity of free accounts, with notice where practicable. Sections that by their nature should survive (including 3.2's no-cash-value terms, 4, 8, and 10–15) survive termination. Upon termination other than for your material breach, we will make Produced Content available for download for at least 30 days.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-laws rules. The state and federal courts located in Tulsa County, Oklahoma have exclusive jurisdiction over disputes arising from these Terms or the Service, and each party consents to personal jurisdiction there. Each party waives any right to a jury trial and to participate in a class action to the extent permitted by law. [Attorney note: consider an arbitration clause at scale.]

15. General

These Terms, together with the Privacy Policy, Refund Policy, and Content & DMCA Policy, are the entire agreement between you and us regarding the Service. We may update these Terms; material changes will be notified by email or in-product at least 14 days before taking effect, and continued use after the effective date constitutes acceptance. If any provision is unenforceable, the remainder stays in effect. We may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign them without our consent.
